(the "Issuer") of common stock purchase warrants as consideration for entering into a Note Purchase Agreement by and among the Issuer and the purchasers named therein, pursuant to which Reds Road Holdings LLC ("RRH") purchased a note for $100,000 and WCCP NextNav Holdings LLC ("WCCP") purchased a note for $4,300,000.
