F1 Holds 566,253 units in Appreciate Intermediate Holdings, LLC. Each unit in Appreciate Intermediate Holdings, LLC may be exchanged together with one share of Class B Common Stock in Appreciate Holdings, Inc. (the "Company") for one share of Class A Common Stock in the Company pursuant to the Appreciate Intermediate Holdings, LLC Amended and Restated Limited Liability Company Agreement (the "A&R LLC Agreement"), dated November 29, 2022.
F2 Pursuant to the A&R LLC Agreement, the Company's common units held by the reporting person are not exchangeable for the Company's Class A Common stock until the expiration or waiver of certain lock-up periods and other restrictions mentioned therein.
F3 Holds 566,253 shares of Class B Common Stock held directly and a 50% beneficial interest in 259,500 and 768,889 shares of Class B Common Stock held by Tatanka, LLC and RWA Holdings, Inc., respectively. Mr. Ortner shares voting and investment control over the shares held by these entities and disclaims beneficial ownership of the other 50% beneficial interest in the shares.
