The reporting person has an indirect pecuniary interest in shares of common stock of the registrant through its membership interest in Progress Capital I LLC, over which the reporting person does not have voting or dispositive control. The reporting person owns, subject to certain vesting conditions, half of the membership interests on Progress Capital I LLC but has no voting or dispositive control over the shares of the registrant's common stock held by Progress Capital I LLC.
