The reporting person has an indirect pecuniary interest in shares of common stock of the registrant through her membership interest in Progress Capital I LLC through Isos Sponsor III LLC, over which the reporting person does not have voting or dispositive control. The reporting person is a managing member of Isos Sponsor III LLC, which, subject to certain vesting conditions, owns half of the membership interests on Progress Capital I LLC but has no voting or dispositive control over the shares of the registrant's common stock held by Progress Capital I LLC.
