Remarks:

Prior to the distribution, D8 Sponsor LLC was a director by deputization because one of its managers, Donald Tang, was nominated to, and a member of, the Issuer's board of directors pursuant to a nomination agreement between D8 Sponsor LLC and the Issuer. In connection with the distribution, the rights of D8 Sponsor LLC under the nomination agreement terminated. As a result of the distribution, D8 Sponsor LLC is no longer a director by deputization or a 10% Owner, and therefore is no longer subject to Section 16 of the Securities Exchange Act of 1934.
