F1 Represents the number of shares withheld by the Issuer to satisfy the tax withholding obligations incurred by Mr. Tuten as a result of the partial vesting of the Restricted Stock Award (hereinafter defined).
F2 As previously disclosed, Mr. Tuten was granted 377,259 restricted shares of the Common Stock under a restricted stock award (the "Restricted Stock Award"), pursuant to the Danimer Scientific, Inc. 2020 Long-Term Incentive Plan.

Remarks:

This amendment on Form 4/A is being filed to amend the Form 4, originally filed on January 4, 2022 (the "Original Form 4"), solely to correct an error in the previously reported number of shares of Common Stock beneficially owned by Reporting Person following the reported transaction as set forth in Table I - "Amount of Securities Beneficially Owned Following Reported Transaction(s)" (Column 5). The Original Form 4 inadvertently omitted 155,392 shares of Common Stock owned directly by Reporting Person from the total reported in Table I - "Amount of Securities Beneficially Owned Following Reported Transaction(s)" (Column 5). Such 155,392 shares constitute all of Reporting's Person's shares of Common Stock that are not associated with the Restricted Stock Award and had been previously reported on Reporting Person's Section 16 filings prior to the Original Form 4.
