Class B Common Stock ("FHI") it previously held, in which the reporting person had an indirect interest, were split equally between the Trust Agreement of Henry J. Lombard FBO Henry G. Lombard and the Trust Agreement of Henry J. Lombard FBO Frances L. Donahue, in which the reporting person also had an indirect interest. The Trust Agreement of Henry J. Lombard FBO Frances L. Donahue was subsequently terminated and the 300 shares of FHI it held were transferred to its beneficiary, Frances L. Donahue, the reporting person's spouse. The transfers did not involve any public sale of shares. The reporting person disclaims beneficial ownership of the shares of FHI held by his spouse and the Trust Agreement of Henry J. Lombard FBO Henry G. Lombard except to the extent of his pecuniary interest therein.
