Remarks:

This amended report is filed to correct the date of the reported transaction, which was the withholding of shares to satisfy tax withholding obligations upon the vesting of restricted stock units ("RSUs") payable solely in shares of the Issuer's common stock. The transaction date originally reported, September 8, 2022, was the date the RSUs were settled; however, the vesting date of July 15, 2022 should have been reported as the transaction date. The amended report also adds Footnote 1.
