In exchange for the shares, the reporting person contributed cash to the trust in the amount of $1,688,035.51 based on the average high/low price of the shares which was $34.915 per share. The shares are now held directly by the reporting person. The reporting person believes his withdrawal of shares from the trust constitutes a change in form of beneficial ownership of the shares, exempted by Rule 16a-13 under the Securities Exchange Act of 1934.
