F1 The Reporting Person forfeited 2,730 shares of common stock upon conversion of 6,667 vested and outstanding restricted stock units into shares of common stock to cover tax withholdings, using the market price of the Issuer's common stock at the time of forfeiture. These restricted stock units were part of the grant reported in Table I of the Form 4 filed by the Reporting Person with the Securities and Exchange Commission on May 21, 2021.
F2 Includes 91,000 unvested restricted stock units held by the Reporting Person, all of which remain subject to certain vesting conditions.
F3 On May 17, 2022, the Reporting Person transferred 3,937 shares of common stock to the James J. Ison Jr. & Sha-Marie A Ison TR UA 06 04 2020 James J. Ison Jr. & Sha-Marie A Ison Inter Vivos Revocable Trust (the "Trust"), of which the Reporting Person is trustee. The Reporting Person and members of his immediate family are the sole beneficiaries of the Trust.
F4 The number of shares held by the Trust reflects a revision to correct an error in the Reporting Person's Form 4 filed with the Securities and Exchange Commission on February 11, 2022 (the "Prior Form 4"), in which it was inadvertently reported that 805 shares of common stock were forfeited to cover tax withholdings upon vesting of 2,500 restricted stock units. The correct number of shares of common stock that were forfeited to cover such tax withholdings was 843 shares, as reported in footnote (3) of the Prior Form 4.
F5 These shares are owned directly by the Trust, and indirectly by James Ison as trustee of the Trust.
