The shares were sold in payment of the reporting person's tax liability incurred upon the vesting of shares subject to restricted stock unit awards granted on January 25, 2018, January 23, 2019, January 21, 2020 and January 22, 2021. The sales of the shares were made pursuant to automatic sell-to-cover arrangements adopted pursuant to Rule 10b5-1 under the Exchange Act in connection with the grants of such restricted stock unit awards.
