F1 On November 30, 2021, a charitable remainder trust of which the reporting person is a trustee and of which the reporting person and his wife are beneficiaries distributed to the reporting person 2,892 shares of common stock in satisfaction of an annual distribution obligation. The reporting person disclaims beneficial ownership of common stock held by the charitable remainder trust except to the extent of his and his wife's pecuniary interest therein.
F2 This transaction involved a gift of securities by the reporting person to the Steven and Ilene Berman Family Foundation dated December 22, 2001, of which the reporting person is a co-trustee. The reporting person disclaims beneficial ownership of the shares held by the Steven and Ilene Berman Family Foundation dated December 22, 2001.
F3 The shares are represented by units held in a unitized stock fund through the Issuer's 401(k) Retirement Plan and Trust. The unitized stock fund of the Issuer's 401(k) Retirement Plan and Trust consists of cash and common stock in amounts that vary from time to time. As of November 4, 2021, the reporting person had 16,400 units in the Issuer's 401(k) Retirement Plan and Trust, which units consisted of 24,866 shares of common stock.
F4 These shares are held in trust for the benefit of the reporting person's grandchildren. The reporting person's spouse is a co-trustee of the trust.
