Received pursuant to the Agreement and Plan of Merger, dated as of February 22, 2021, by and among Rodgers Silicon Valley Acquisition Corp, a Delaware corporation ("RSVAC"), RSVAC Merger Sub Inc., a Delaware corporation and wholly owned subsidiary of RSVAC ("Merger Sub"), and Enovix Corporation, a Delaware corporation ("Legacy Enovix"), pursuant to which (i) Merger Sub merged with and into Enovix, with Enovix surviving the merger as a wholly owned subsidiary of RSVAC and (ii) RSVAC changed its name to Enovix Corporation (the "Issuer").

The securities are held directly by Eclipse Fund III, L.P. ("Eclipse III"). Eclipse GP III, LLC ("Eclipse III GP") is the general partner of Eclipse III and may be deemed to have voting and dispositive power over the shares held by Eclipse III. Lior Susan is the sole managing member of Eclipse III GP and may be deemed to have voting and dispositive power over the shares held by Eclipse III. Eclipse III GP and Mr. Susan disclaim beneficial ownership of the shares held by Eclipse III except to the extent of their respective pecuniary interests therein, if any.
