F1 | All shares reported are restricted stock units ("RSUs") held by the reporting person, granted on 2/10/2020 and 1/29/2021. One half of each RSU award is subject to time-based vesting and the remainder is subject to performance-based vesting. |
F2 | Time-based RSUs will vest in 3 equal tranches on each of the 1st, 2nd and 3rd anniversaries of day immediately prior to grant date. Performance-based RSUs will vest based on achievement of relative total shareholder return ("TSR"). The Company's 3-year TSR for the period 1/1/20 to 12/31/22 or the period 1/1/21 to 12/31/23, as applicable, will be measured against TSR of the Company's defined peer group for same period. Performance metric will be met, and RSUs will vest, based on percentile achievement as follows, with a target achievement of Company TSR at 50th percentile of peer group TSR: 75% of award will vest if Company achieves 67% of target achievement (= to 33rd percentile) and 125% of award will vest if Company achieves 133% or more of target achievement (= to 67th percentile). The amount of shares that will vest based upon Company achieving between threshold, target and maximum performance levels are linearly interpolated. |
