F1 On May 18, 2020, Teresa A. Borden filed a Form 4 which reported that, following the sale of shares of Class A Common Stock of Switch, Inc. by an affiliated entity of her spouse, her spouse beneficially owned 4,200,002 shares directly and 5,274,998 shares indirectly through an affiliated entity. In fact, as reported in this amendment, Ms. Borden's spouse beneficially owned 4,610,002 shares of Class A Common Stock directly and 4,864,998 shares of Class A Common Stock indirectly through an affiliated entity due to a change in the nature of the beneficial ownership resulting from a transfer of 410,000 shares from the affiliated entity to her spouse personally on May 15, 2020.
F2 The inclusion of these shares held by Teresa A. Borden's spouse shall not be deemed an admission that Ms. Borden is, for purposes of Section 16 of the Securities Exchange Act of 1934 or otherwise, the beneficial owner of any securities held solely by her spouse, and Ms. Borden disclaims beneficial ownership thereof.
