The Reporting Person voluntarily elected to rescind his purchase of Class B Ordinary Shares from Karbon Capital Partners Core Holdings, LLC (the "Sponsor"), and the Sponsor has retained those shares. The Sponsor is considering alternatives to encourage alignment and value creation at the Company that will be made available to the independent directors and potential future consultants and advisors to the Company.
