(1) This report is made on a voluntary basis as the Reporting Person has not acquired or disposed of any additional Common Shares. The Reporting Person is no longer subject to section 16, as it holds 2,394,014.165 Common Share constituing 8.34% of the total ordinary shares outstanding and it is no longer a 10% owner. This percentage is based on 28,699,898 Ordinary Shares outstanding as of May 20, 2025 (as reported by the issuer in its form 8-K filed with the Securities and Exchange Commision on May 20, 2025). (2) The shares are owned directly by Smart Capital Alternative Solutions S.V Ltd. ("Smart Capital"), which is a majority-owned subsidiary of the Reporting Person (which holds 72.45% of the share capital the voting rights of Smart Capital, while Mr. Moni Feller owns 11.57%, and each of Mr. Ido Berman and Mr. Guy Friedler owns (through a trustee) 7.99% of the share capital the voting rights of Smart Capital. The Reporting Person is an indirect beneficial owner of the reported securities.
