F1 Acquired pursuant to the Agreement and Plan of Merger, dated as of December 20, 2022 (the Merger Agreement), by and between Mid Penn Bancorp, Inc. (MPB) and Brunswick Bancorp (Brunswick), pursuant to which Brunswick merged with and into MPB, with MPB continuing as the surviving corporation (Merger), on May 19, 2023. Pursuant to the Merger Agreement, at the effective time of the Merger (the Effective Time), each share of common stock of Brunswick held by Mr. Gumina immediately prior to the Effective Time that was not converted into cash was converted into the right to receive 0.598 shares of MPB common stock.
