F1	As described in the issuer's registration statement on Form S-1 (File No. 333-258393) under the heading "Description of Securities-Founder Shares", the Class B ordinary shares, par value $0.0001 per share, will automatically convert into Class A ordinary shares, par value $0.0001 per share, of the issuer at the time of the issuer's initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment for share splits, share capitalizations, reorganizations, recapitalizations and the like, and certain anti-dilution rights and have no expiration date.
F2	New Emerging Markets Horizon (the "Sponsor") is the record holder of such Class B ordinary shares, acquired pursuant to a share and warrant transfer agreement dated as of June 8, 2022 by and among the Sponsor, EM Horizon Investments and certain other parties thereto. FPP Capital Advisers is the sole managing member of the Sponsor and has sole voting and dispositive control over the Class B ordinary shares held of record by the Sponsor. Therefore FPP Capital Advisers may also be deemed the beneficial owner of such shares. FPP Capital Advisers disclaims any beneficial ownership of the securities held by the Sponsor, other than to the extent of any pecuniary interest it may have therein, directly or indirectly.
