Id Content
F1 Represents the transfer of shares of the Issuer directly held by the Reporting Person to certain funds affiliated with Thomas H. Lee Partners, L.P. ("THL," and such affiliated funds, the "THL Funds"), in each case, for no consideration. The shares were originally granted to the Reporting Person in connection with the Reporting Person's service as a director of the Issuer. Pursuant to operative agreements of the THL Funds, the shares issued to the Reporting Person for service as a director while the Issuer was a portfolio company of the THL Funds were held for the benefit of the THL Funds and were required to be transferred to the THL Funds following the lapse of restrictions. The Reporting Person is a Managing Director of THL, which serves as the general partner of the managing member for certain of the THL Funds.
F2 Includes 59,384 shares of the Issuer previously distributed to the Reporting Person by certain THL Funds on a pro rata basis for no additional consideration.

Remarks:

This Amendment to the Form 4 originally filed by the Reporting Person on May 18, 2022 (the "Original Form 4"), is being filed solely revise the total number of shares of the Issuer owned by the Reporting Person following the reported transaction. The Original Form 4 inadvertently excluded 59,384 shares of the Issuer that had not previously been reported as directly owned following their distribution to the Reporting Person.
