F1	Represents the total number of restricted stock units that were settled in cash pursuant to their terms.
F2	Each Restricted Stock Unit represents a contingent right to receive cash in an amount equivalent to the value of one share of Quanex common stock.
F3	The restricted stock units will become payable on the second anniversary of their date of grant or, if earlier, upon the grantee's death, disability, cessation of service as a director, or change in control of the Company.
F4	Due to a clerical error, Box 9 of the reporting person's original Form 4 listed a post-transaction RSU balance which inadvertently omitted the 4,797 RSUs granted on November 1, 2021.
