Id Content
F1 Each restricted stock unit (the "RSU") that was settled, was settled in ordinary shares of the Issuer at one share per RSU.
F2 The number of ordinary shares withheld to satisfy tax withholding obligations arising out the vesting of RSUs is based on a percentage and did not take into account any market value as the Issuer's ordinary shares are not listed or quoted on a recognized trading market.
F3 The Reporting Person entered into an agreement with the Issuer pursuant to which the Reporting Person forfeited the right to receive 2,466 RSUs that would otherwise have vested in exchange for a payment from the Issuer to facilitate the Reporting Person's ability to satisfy certain tax obligations related to the RSUs scheduled to vest.
F4 On February 19, 2024, the Reporting Person was granted 13,678 RSUs vesting ratably on each of the first three anniversaries of January 1, 2024. Outstanding RSUs were subsequently adjusted as described in footnote 6 below.
F5 The number of RSUs forfeited is based on a percentage.
F6 Reflects that the Reporting Person received 8,183 additional RSUs resulting from the adjustment of the RSUs held by the Reporting Person immediately prior to the separation of Par Health, Inc.
