F1 Excludes the Reporting Person's pro rata share of up to 15,000,000 additional shares of the Issuer's Common Stock which may become issuable to the former shareholders of Humacyte, Inc. pursuant to the terms of the Business Combination Agreement dated as of February 17, 2021 by and among the Issuer, Hunter Merger Sub, Inc. and Humacyte, Inc., as to which the Reporting Person disclaims any present beneficial ownership interest.
F2 This Form 4 is being filed solely to report that the Reporting Person is no longer subject to Section 16. (See the checkbox on page 1.) The decrease in the Reporting Person's beneficial ownership to less than 10% is solely the result of an increase in the number of outstanding shares of the Issuer's Common Stock subsequent to the filing of the Reporting Person's Initial Statement of Beneficial Ownership on Form 3. Neither of the Reporting Person nor FME (see note 3) has disposed of or acquired any shares of the Issuer's Common Stock subsequent to the filing of such Form 3 on September 2, 2021.
