Id Content
F1 Represents subordinate voting shares underlying restricted stock units ("RSUs") granted to Dr. Kingsley. The RSUs are granted under the Vireo Health International Inc. 2019 Equity Incentive Plan, as amended, and become vested on the following schedule: 3,500,000 on December 17, 2025 with the balance vesting in equal installments of 875,000 on March 17, 2026, June 17, 2026, September 17, 2026, and December 17, 2026 (subject to Dr. Kingsley remaining a Service Provider on each such vesting date) or (i) the date of a change in control of the Parent Company or the Employer; or (ii) promptly following (and in no case later than 20 days) Dr. Kingsley's separation from service (as defined in 409A of the Internal Revenue Code) by the Employer (with or without Cause).
