The purpose of this amendment is to correct the number of shares of Class A common stock, $0.0001 par value per share ("Common Stock"), of Wheels Up Experience Inc. reported by the Reporting Person on a Form 4 filed on September 20, 2023 (the "Original Form 4") as being withheld for payment of tax liability arising as a result of the vesting of restricted stock units. The number of shares of Common Stock reported in Table I of the Original Form 4 have been revised as follows: (i) in Column 4, revised to 1,623 shares from 5,390 shares; and (ii) in Column 5, revised to 73,022 shares from 69,255 shares.
