F1	On July 24, 2023, pursuant to the Contribution and Exchange Agreement dated as of May 29, 2023, Xeraya Cove Ltd ("Xeraya") contributed all of its shares of Common Stock to SW ParentCo, Inc. ("Parent") in exchange for shares of Series A-2 Preferred Stock of Parent.
F2	These securities are held of record by Xeraya. Fares Zahir, a natural person, is a director of Xeraya and has sole voting and dispositive power with respect to the securities held by Xeraya. By virtue of such relationship Mr. Zahir may be deemed to have beneficial ownership over such securities, but disclaims beneficial ownership except to the extent of his pecuniary interest therein.
