F1	Jefferies LLC ("Jefferies") owns the 2,277,000 shares of Class A common stock of the Issuer (the "Class A Common Stock"). Jefferies is a wholly-owned direct subsidiary of Jefferies Financial Group Inc ("JFG" and together with Jefferies, the "Reporting Persons"). JFG disclaims beneficial ownership over the securities held by Jefferies, except to the extent of JFG's pecuniary interest therein.

Remarks:

The shares of Class A Common Stock reported herein were originally acquired on May 14, 2021. The Reporting Persons are filing this Form 3 solely to report that, as of December 30, 2022, it has become the beneficial owner of more than 10% of the Class A Common Stock as a result of a decrease in the total number of shares of Class A Common Stock outstanding following redemptions by the Issuer (as reported by the Issuer on a Current Report on Form 8-K on December 30, 2022).
