F1 Common Units of Enfusion Ltd. LLC, and the corresponding shares of Class B common stock, are exchangeable for shares of the Issuer's Class A common stock on a one-for-one basis with the Issuer having the ability to elect to pay cash in lieu of issuing Class A common stock.
F2 These Common Units are held by LRA Ventures, LLC. Tarek Hammoud is the sole manager of LRA Ventures, LLC, an estate planning vehicle of which Mr. Hammoud is the sole manager. Mr. Hammoud may be deemed to have dispositive power over the Common Units held by LRA Ventures, LLC. Mr. Hammoud disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
