("Merger Sub"), Merger Sub launched a tender offer for all of the outstanding shares of common stock of Issuer at a price of $2.34 per share in cash. Mr. Klofas tendered shares pursuant to the offer, and on January 18, 2022, Merger Sub consummated the offer and purchased all shares duly tendered.
