On January 5, 2022, the trust that owned 100% of the ownership interests in the reporting person, of which Robert B. Rowling was trustee, was dissolved and such ownership interests were distributed to the trust's beneficiary. Mr. Rowling ceased being a beneficial owner of the 171,100 shares of Common Stock owned by the reporting person and the reporting person is no longer deemed to be a 10% owner under Rule 16a-1(a)(1). As a result, the reporting person is no longer subject to, and will no longer file reports under, Section 16(a) with respect to transactions in equity securities of the Issuer.
