Pursuant to certain securities transfer agreement dated November 2, 2021 among the Reporting Person, Fortune Rise Sponsor LLC and others, the Reporting Person were to receive the shares from Fortune Rise Sponsor LLC as compensation shares but instructed such shares to be transferred to US Tiger as designee of the Reporting Person.
