F1 The Class B ordinary shares are convertible for the Issuer's Class A ordinary shares as described under the heading "Description of Securities" in the Issuer's Registration Statement on Form S-1 (File No. 333- 254695) (the "Registration Statement") and have no expiration date.
F2 These Class B ordinary shares are held by Smilodon Capital, LLC (the "Sponsor") acquired pursuant to a subscription agreement by and between the Sponsor and the Issuer. The Class B ordinary shares owned by the Sponsor includes up to 937,500 shares that are subject to forfeiture in the event the underwriters of the Issuer's initial public offering do not exercise in full their over-allotment option as described in the Registration Statement. Admit Capital, LLC is the managing member of the Sponsor. The Reporting Person is the managing member of Admit Capital, LLC and may be deemed to share beneficial ownership of such shares. The Reporting Person disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
