The reported securities may be attributed to the Reporting Person based upon the fact that the Reporting Person is one of several individuals and/or their affiliates that directly or indirectly controlled the Advisor prior to the Transaction. The Reporting Person disclaims beneficial ownership of the reported securities held by the Advisor except to the extent of his pecuniary interest therein. On July 1, 2021, the Reporting Person and other owners of the Advisor sold their interests in the Advisor to an unaffiliated third party, and thereby indirectly disposed of the 20,225 shares of Class I Common Stock owned by the Advisor (the "Transaction").
