The reporting person is a member and holds a non-controlling interest in Alpine Acquisition Sponsor LLC, the Issuer's sponsor (the "Sponsor"), which beneficially owns 2,830,000 shares of the Issuer's common stock. The Sponsor is controlled by Elan Blutinger, the Issuer's Chairman. The reporting person disclaims any beneficial ownership of the securities held by the Sponsor except to the extent of any pecuniary interest therein.
