In such capacity, Karpus has votingand dispositive power over the Account Shares. As a result, Karpus may be deemed to beneficially own more than 10% of the issuer's outstanding shares of common stock for purposes of Section 13(d) of the Securities Exchange Actof 1934, as amended (the "Exchange Act"). However, Karpus has no pecuniary interest in the Account Shares for purposes of Section 16 of the Exchange Act.
