F1 On the indicated date, the Reporting Person instructed the Issuer to withhold shares of Common Stock to cover tax withholding obligations upon the vesting of restricted stock as permitted under the Servotronics, Inc. 2022 Equity Incentive Plan.
F2 Pursuant to the terms of that certain Agreement and Plan of Merger, dated as of May 18, 2025, by and among Servotronics, Inc., TransDigm Inc. and TDG Rise Merger Sub, Inc., as amended by Amendment No. 1 thereto dated May 28, 2025 (as amended, the "Merger Agreement"), the reported securities were tendered prior to the Expiration Date (as defined in the Merger Agreement) and disposed of at the Acceptance Time (as defined in the Merger Agreement) in exchange for $47.00 per share, payable in cash at closing, without interest and subject to reduction for any applicable withholding of taxes (the "Offer Consideration").
F3 Pursuant to the Merger Agreement, each share of the Issuer's Common Stock not previously tendered by the Reporting Person was cancelled and converted into the right to receive an amount in cash equal to the Offer Consideration.
