Footnote F1
On March 4, 2024, the Rekor Systems, Inc. completed the redemption of all its outstanding senior secured notes. In connection with the redemption, Mr. Berman elected to accept $300,000 of the redemption payment due to him for his senior secured notes in the form of 120,000 unregistered shares of the registrant's common stock, par value $0.0001 per share, having a value of $2.50 per share.
