F1 These restricted stock units ("RSUs"), which convert into common stock on a one-for-one basis, were granted under the Vintage Wine Estates, Inc. 2021 Omnibus Incentive Plan in a transaction exempt under Rule 16b-3 and, except as otherwise provided in the award agreement, vest in two equal installments on each of 7/20/2024 and 7/20/2025.
