(SOL) entered into a share purchase agreement with House of Lithium LLC (HOL), whereby SOL transferred 224,194 shares of Common Stock (being all shares of Common Stock held by SOL) to HOL in exchange for the consideration set forth therein as part of an intragroup transaction.
