The reporting person is a member and holds a non-controlling interest in Gesher I Sponsor LLC, the Issuer's sponsor (the "Sponsor"), which beneficially owns 2,875,000 ordinary shares of the Issuer. Sponsor is controlled by its managing members, Ezra Gardner, a Director of the Issuer and its Chief Executive Officer, and Omri Cherni, a Director of the Issuer and its Chief Operating Officer. The reporting person disclaims any beneficial ownership of the securities held by the Sponsor except to the extent of any pecuniary interest therein.
