(the "Issuer") underlying performance-vested restricted stock units ("PSUs") granted to the Reporting Person on February 24, 2022 pursuant to the Issuer's Equity Incentive Plan, as amended, and the related award agreement. The PSUs vested based on the attainment of a basic cumulative earnings per share performance goal over a two-year performance period beginning January 1, 2022 and ending on December 31, 2023.
F2 The transaction represents shares of the Issuer's common stock withheld by the Issuer in connection with the vesting of PSUs to satisfy the Reporting Person's tax withholding obligations. The Issuer will pay these taxes on behalf of the Reporting Person.
