F1 On June 3, 2025, Endeavor Operating Company, LLC ("EOC") entered into an agreement to purchase 1,579,080 shares of Class A Common Stock from Vincent K. McMahon in a private transaction at a per share price of $158.32 for aggregate consideration of approximately $250 million. The transaction closed on June 4, 2025.
F2 WME IMG, LLC is an indirect subsidiary of Endeavor Group Holdings, Inc. ("EGH"). EGH is the managing member of Endeavor Manager, LLC, which in turn is the managing member of EOC. Mr. Egon Durban is the managing member of Silver Lake West VoteCo, L.L.C. which owns a majority of the voting power of EGH. Mr. Durban is a director of the Issuer and is a Co-CEO and Managing Member of Silver Lake Group, L.L.C. Securities reported on this Form 4 are held solely by subsidiaries of EGH. Investment funds managed by Silver Lake do not directly hold any equity securities of the Issuer.
