As a result, Equity Partners VII may be deemed to share voting and dispositive power with respect to the shares held by each of the Stockholder Entities, and Strategic Partners VII may be deemed to share voting and dispositive power with respect to the shares held by each of PSA Healthcare and PSA Iliad Holdings.
