F1	On December 27, 2024, the Reporting Person entered into a Subscription Agreement with Roadzen Inc., a British Virgin Islands company (the "Company"), pursuant to which the Company issued to the Reporting Person 892,857 ordinary shares, par value $0.0001 per share, of the Company, in consideration for the extinguishment of all liabilities associated with certain service arrangement between the Reporting Person and the Company, including, without limitation, an aggregate amount of $2,500,000 the Company owed to the Reporting Person.

Mr. Carlson is the chief executive officer of MP, a corporation incorporated in the State of New York with offices located at 1230 Avenue of the Americas, 16th Floor, New York, NY 10020, and as such may be deemed to have beneficial ownership of the ordinary shares held directly by MP. Mr. Carlson disclaims any beneficial ownership of the shares held by MP, except to the extent of his pecuniary interest therein.
