F1 The Compensation Committee of the Board of Directors of the Company approved the cancellation of Ms. Cudahy's options to purchase 613,434 shares of common stock, granted under the Company's 2020 Omnibus Incentive Plan, and granted her restricted stock units ("RSUs") of approximately equal fair value of the cancelled stock options, valued as of July 14, 2023.
F2 Represents an option to purchase 4,758 shares of common stock, including 1,784 of which was unvested, which was inadvertently omitted from the Form 4 filed by Ms. Cudahy on August 1, 2023 in connection with the Company's cancellation of certain "underwater" stock options granted to employees and executive officers and replacement thereof with RSUs on July 28, 2023.
