Each deferred stock unit represents a contingent right to receive one share of Common Stock. The deferred stock units will be settled in shares of Common Stock upon the earlier of (i) September 1, 2024, (ii) the reporting person's separation from service on the Company's board of directors, or (iii) a change in control.

Footnote F2

The deferred stock units were acquired by Mr. Yip pursuant to the terms of the Company's Non-Employee Director Deferred Compensation Plan, under which directors may elect to defer all or a portion of their cash retainer and committee fees.
