On May 3, 2024, Exxon Mobil Corporation ("ExxonMobil") completed the acquisition of Pioneer Natural Resources Company ("Pioneer") pursuant to the Agreement and Plan of Merger, dated October 10, 2023, by and among ExxonMobil, Pioneer and SPQR, LLC. Upon the completion of the Pioneer acquisition, Pioneer Pumping Services, an indirect wholly owned subsidiary of Pioneer, became an indirect wholly owned subsidiary of ExxonMobil. ExxonMobil is an indirect beneficial owner of the reported securities.
