As noted above, 7,909 shares of the issuer's common stock were actually withheld at $5.39 per share on February 14, 2024. The number of securities reported in Column 5 reflects the Reporting Person's direct beneficial ownership immediately following the corrected transaction. These shares of issuer's common stock were withheld solely to cover the Reporting Person's tax obligation arising from the settlement of vested restricted stock units and did not represent an open market sale.
