(the "Issuer") on August 14, 2023 (the "Distribution Date") by way of a pro rata distribution to the holders of record of its common stock (the "Spin-Off") as of 5:00 pm New York City time on July 31, 2023 (the "Record Date"). For purposes of Section 16 of the Securities Exchange Act of 1934, as amended, LICT's distribution of the Issuer's common stock is deemed to occur on the Record Date.
F2	The Reporting Person owns shares of common stock of LICT as of the Record Date. Accordingly, as a result of the Spin-Off, the shares of common stock of the Issuer reported by the Reporting Person herein will be obtained on the Distribution Date from LICT in an exempt transaction.
