F1 Issued pursuant to a business combination involving TPCO Holding Corp. ("TPCO"), Gold Flora, LLC ("Gold Flora"), Stately Capital Corporation ("Stately"), Gold Flora Corporation ("Issuer") and Golden Grizzly Bear LLC. TPCO, Stately, and Issuer amalgamated to form a new corporation. Issuer common shares and RSUs were issued in exchange for TPCO common shares on a one-for-one basis.
F2 Common Shares held by affiliates of Tuatara Capital LP ("Tuatara"). Reporting Person is a Managing Partner and the Chief Investment Officer of Tuatara and shares voting and dispositive power of these Common Shares with two other persons. Reporting Person disclaims beneficial ownership of these shares, except to the extent of his pecuniary interest.
F3 Upon vesting, RSUs convert into Common Shares on a one-for-one basis.
